Our Transactions team was pleased to act as Finnish counsel to Baneservice, Norway’s leading railway contractor, on its acquisition of Ratatek Oy, the leading contractor to the Finnish rail industry, focusing on the design, installation and maintenance of high voltage electrical systems on railways.
The sale by Swedish publicly listed business group Ratos AB, is part of its divestment of substantially all operational business of Expin Group, a group focusing on electrification and signal and telecommunication systems within rail infrastructure in Sweden and Finland.
Baneservice is a Norwegian government owned railway construction and maintenance company. It is by far the largest subcontractor for Bane NOR and is owned by the Norwegian Ministry of Transport and Communications. The acquisition of the Expin Group companies in Sweden and Finland is part of its expansion into new Nordic markets.
The transaction is subject to customary closing conditions and is expected to be completed in the second quarter of 2026.
